Changes in the composition of the Supervisory Board and the Management Board

In the reporting period, the following changes were made in the Management Board and Supervisory Board of DB AG:

Dr. Rüdiger Grube left DB Group on January 30, 2017. His appointment was rescinded in agreement with the Supervisory Board.

Dr. Richard Lutz was reappointed to the Management Board of DB AG from March 22, 2017 until March 21, 2022, and was appointed Chief Executive Officer. He is responsible for the Board division of the CEO, which he had already been co-managing in the interim since the departure of Dr. Grube, as envisaged in the provisions on representation.

Berthold Huber and Ronald Pofalla were also reappointed to the Management Board of DB AG from March 22, 2017 until March 21, 2022. Berthold Huber is responsible for Passenger Transport and assumed interim responsibility for Freight Transport and Logistics until Alexander Doll has joined DB Group, who was newly appointed as member of the Management Board in charge of the Freight Transport and Logistics division on November 10, 2017. Ronald Pofalla remains in charge of the Infrastructure division.

On November 10, 2017, the Supervisory Board appointed Prof. Dr. Sabina Jeschke to the Management Board of DB AG, effective immediately and until November 9, 2020. Prof. Jeschke is responsible for Digitalization and Technology, which Dr. Richard Lutz had been managing in the interim prior to her appointment.

Also on November 10, 2017, the Supervisory Board ap­­pointed Martin Seiler to the Management Board and as labor director with effect from January 1, 2018 until De­­cem­­ber 31, 2020. Effective January 1, 2018, Martin Seiler took over responsibility for Human Resources and Legal Affairs from Ulrich Weber, who left the Management Board at his own request and by mutual agreement at the end of December 31, 2017 and retired.

In the context of her appointment as Federal Minister of Economics and Energy, Brigitte Zypries resigned from the Supervisory Board of DB AG with effect from January 26, 2017. Effective March 3, 2017, Uwe Beckmeyer, Parliamentary State Secretary in the Federal Ministry of Economics and Energy, was seconded to the Supervisory Board of DB AG.Fred Nowka resigned his Supervisory Board mandate with effect from the end of April 30, 2017. The District Court of Charlottenburg appointed Veit Sobek as his successor to the Supervisory Board of DB AG with effect from May 11, 2017.

Johannes Schmalzl, who had been seconded to the Supervisory Board of DB AG at the instigation of the Federal Ministry of Finance, resigned from the Board effective from the end of December 31, 2017. Dr. Levin Holle, Department Manager at the Federal Ministry of Finance, was appointed as his successor to the Supervisory Board of DB AG with effect from January 16, 2018.

The Supervisory Board thanks the departing members of the Management Board and the Supervisory Board for their committed and constructive support of the company.

The Supervisory Board would also like to thank the Management Board, the employees and the works council representatives of DB AG and affiliated companies for their achievements in the year under review.
